Terms & Conditions
This Terms of Service ("Agreement") is a legally binding agreement between you, the individual or
organization accessing or using Moleculli CRM Software ("Customer", "User", "you", or "your"), and
Moleculli CRM Software ("Moleculli", "Company", "we", "our", or "us").
This Agreement governs your access to and use of all services, software, applications, websites, APIs,
mobile applications, cloud services, and related products provided by Moleculli CRM Software.
By creating an account, purchasing a subscription, accessing, browsing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be legally bound by this
Agreement.
If you do not agree to these Terms of Service, you must immediately discontinue use of the Services.
If you are accepting this Agreement on behalf of a company, organization, partnership, government
agency, or other legal entity, you represent and warrant that you have full authority to bind that
entity to this Agreement.

If there is any conflict between the General Terms and any Service-Specific Terms, the Service- Specific Terms shall prevail only for the applicable service.
Acceptance of the Agreement
You may accept this Agreement by:
• Creating an account.
• Clicking "I Agree", "Accept", or similar confirmation.
• Purchasing any subscription.
• Accessing or using any Moleculli CRM Software Service.
By doing so, you confirm that:
• You are at least 18 years of age or the legal age required in your jurisdiction.
• You have the legal authority to enter into this Agreement.
• The information you provide is true, complete, and accurate.
• You will comply with all applicable laws while using the Services.
If you are using the Services on behalf of a business entity, your acceptance binds that entity to these
Terms.
Description of Services
Moleculli CRM Software provides cloud-based business management solutions that help organizations manage customer relationships, sales operations, employee management, field operations, inventory, reporting, analytics, and business workflows.
Our Services may include, but are not limited to:
• Customer Relationship Management (CRM)
• Lead Management
• Contact Management
• Opportunity Management
• Sales Pipeline Management
• Customer Support Management
• Inventory Management
• Purchase Management
• Product Management
• Field Force Management
• Employee Management
• Attendance and Activity Tracking
• Multi-Company Management
• Multi-Country Management
• Multi-State Administration
• Multi-Zone Administration
• Multi-District Administration
• Multi-Area Administration
• Multi-Branch Administration
• Reports and Business Analytics
• Dashboards and KPI Monitoring
• Role-Based Access Control
• Mobile Applications
• API Services
• Integrations with Third-Party Services
• Notification Services
• Document Management
• Subscription Management
• Billing and Payment Services
• Artificial Intelligence features where available
• Any future products or modules introduced by Moleculli CRM Software.
The Services are delivered through secure cloud infrastructure and may also include desktop applications, mobile applications, APIs, browser-based interfaces, and offline synchronization
features where supported.
We reserve the right to improve, modify, suspend, replace, discontinue, or introduce new Services at
any time.
Definitions
For purposes of this Agreement:
Account means a registered user profile used to access Moleculli CRM Software.
Administrator means the authorized person responsible for managing an organization's account, users, permissions, subscriptions, and settings.
Affiliate means any company directly or indirectly controlling, controlled by, or under common control with Moleculli CRM Software.
Authorized User means an individual permitted by the Customer to use the Services.
Content means all information, files, documents, records, images, videos, data, communications,reports, and other materials uploaded, created, stored, or transmitted through the Services.
Customer Data means all business data belonging to the Customer.
Subscription means the paid or free plan selected by the Customer.
Services means all software, applications, APIs, cloud services, websites, mobile applications,
support services, and related offerings provided by Moleculli CRM Software.
User means any person who accesses or uses the Services.
Eligibility
To use Moleculli CRM Software, you must:
• Be legally capable of entering into binding contracts.
• Not be prohibited by law from using online software services.
• Comply with all applicable local, state, national, and international laws.
• Register using valid information.
Organizations registering employees, contractors, or representatives are responsible for ensuring that all such users comply with this Agreement.
User Registration
To access certain Services, you must create an account.
During registration, you agree to:
• Provide accurate information.
• Maintain current information.
• Use a valid email address.
• Keep your password confidential.
• Prevent unauthorized access to your account.
• Notify us immediately if you believe your account has been compromised.
You are responsible for all activities occurring under your account.
Moleculli CRM Software is not responsible for any loss resulting from unauthorized use caused by your failure to protect your credentials.
Organization Accounts
Organizations may create business accounts with multiple users.
The organization administrator may:
• Create user accounts.
• Assign permissions.
• Restrict access.
• View reports.
• Manage subscriptions.
• Configure workflows.
• Enable or disable modules.
• Add or remove branches.
• Manage organizational settings.
• Reset user passwords.
• Transfer administrative privileges.
The administrator acts on behalf of the organization.
All actions performed by administrators are considered authorized actions of the organization.
The organization is solely responsible for selecting trustworthy administrators.
Account Security
You are responsible for:
• Protecting usernames and passwords.
• Maintaining device security.
• Enabling Multi-Factor Authentication where available.
• Monitoring account activity.
• Reporting unauthorized access immediately.
Moleculli CRM Software may temporarily suspend access if suspicious activity is detected to protect
customer data.
Free Trial
Moleculli CRM Software may offer free trials for selected Services.
Free trials are provided solely for evaluation purposes.
The duration of each trial may vary depending on the selected product or promotional offer.
During the trial period:
• Features may be limited.
• Storage limits may apply.
• Support may be restricted.
• Certain integrations may not be available.
Unless otherwise stated, all Customer Data created during the free trial may be permanently deleted
after the trial expires if a paid subscription is not activated.
Customers are responsible for exporting their data before the trial expires if they do not wish to continue using the Services.
Free trials are provided "AS IS" without warranties or service level guarantees.
Beta Services
From time to time, Moleculli CRM Software may release beta, preview, early access, experimental, or
testing features.
These Beta Services are intended solely for evaluation and testing.
Beta Services:
• May contain defects.
• May be incomplete.
• May change without notice.
• May not be suitable for production environments.
• May experience interruptions.
• May be discontinued at any time.
Moleculli CRM Software is under no obligation to continue or commercially release any Beta Service.
Use of Beta Services is entirely at your own risk.
Subscription Plans
Moleculli CRM Software offers various subscription plans designed to meet the requirements of
individuals, startups, small businesses, medium-sized businesses, and enterprises.
Each subscription plan may include different features, storage limits, user limits, API access, integrations, support levels, and usage allowances.
The details of each subscription plan, including pricing, features, limitations, and billing frequency,
will be published on our official website or communicated through our authorized sales
representatives.
Your subscription grants you only the rights expressly provided under this Agreement. No ownership
rights in the Services are transferred to you.
Moleculli CRM Software reserves the right to introduce new subscription plans, modify existing plans, discontinue plans, or adjust available features at any time.
Subscription Activation
Your subscription becomes active only after:
• Successful account registration;
• Successful payment confirmation (for paid plans);
• Completion of any verification process required by Moleculli CRM Software;
• Acceptance of these Terms of Service.
Some enterprise subscriptions may require execution of separate commercial agreements before
activation.
Subscription Duration
Subscriptions may be offered on various billing cycles including:
• Monthly
• Quarterly
• Half-Yearly
• Annual
• Multi-Year
• Custom Enterprise Agreements
The subscription period begins on the activation date and continues until the expiration of the
selected billing cycle unless renewed, cancelled, suspended, or terminated under this Agreement.
Subscription Renewal
Unless otherwise agreed in writing, paid subscriptions may automatically renew at the end of each
billing cycle.
By enabling automatic renewal, you authorize Moleculli CRM Software to charge the payment
method associated with your account for the applicable subscription fees, taxes, and any recurring
charges.
You may disable automatic renewal through your account settings or by contacting our support team
before the renewal date.
Failure to cancel before renewal may result in automatic billing for the next subscription period.
Subscription Upgrade
Customers may upgrade their subscription plan at any time.
Upon upgrading:
• Additional features become available immediately or as specified.
• Additional charges may apply.
• Billing may be prorated where applicable.
• User limits and storage allocations may increase according to the selected plan.
Certain upgrades may require system configuration changes before activation.
Subscription Downgrade
Customers may request to downgrade their subscription.
Downgrading may result in:
• Loss of premium features.
• Reduced storage capacity.
• Reduced API limits.
• Lower user limits.
• Restricted module access.
• Removal of advanced reports or integrations.
Customers are responsible for ensuring their data complies with the limits of the downgraded plan.
Moleculli CRM Software shall not be responsible for data deletion resulting from continued storage
beyond permitted limits after downgrade.
Subscription Cancellation
Customers may cancel their subscription at any time.
Cancellation does not automatically entitle the Customer to a refund unless specifically stated in the
applicable Refund Policy.
Upon cancellation:
• Access to premium Services may continue until the current billing period expires.
• No future recurring charges will be applied after the effective cancellation date.
• Certain Services may immediately become unavailable depending on the selected
subscription.
Fees and Payments
Access to paid Services requires payment of applicable subscription fees.
Payments may be made using supported payment methods including:
• Credit Cards
• Debit Cards
• UPI
• Net Banking
• Digital Wallets
• Bank Transfers
• Payment Gateways
• Other approved payment methods
All payments must be completed through authorized payment providers approved by Moleculli CRM
Software.
Customers are responsible for ensuring sufficient funds are available for recurring subscription charges.
Failure of payment may result in suspension or termination of Services.
Currency
Subscription fees may be charged in different currencies depending on:
• Customer location
• Selected billing region
• Applicable payment gateway
• Local regulations
Currency conversion charges imposed by banks or payment providers are the responsibility of the
Customer.
Taxes
Subscription fees do not include applicable taxes unless expressly stated.
Depending upon the Customer's location, applicable taxes may include:
• Goods and Services Tax (GST)
• Value Added Tax (VAT)
• Sales Tax
• Service Tax
• Withholding Tax
• Digital Service Tax
• Other government-imposed taxes
Customers agree to pay all applicable taxes required by law.
Where required, Moleculli CRM Software will issue tax invoices in accordance with applicable laws.
Customers are responsible for providing valid tax registration information where applicable.
Late Payments
If payment cannot be successfully processed, Moleculli CRM Software may:
• Suspend Services;
• Restrict access;
• Disable premium features;
• Charge applicable late payment fees where permitted by law;
• Recover outstanding amounts through legal means.
Suspension due to non-payment does not relieve the Customer from the obligation to pay outstanding charges.
Refund Policy
Refund eligibility shall be governed by the official Refund Policy published by Moleculli CRM Software.
Unless otherwise stated:
• Subscription fees are non-refundable after activation.
• Partial usage does not qualify for partial refunds.
• Failure to use the Services does not create refund eligibility.
• Refunds for duplicate transactions may be issued after verification.
• Refunds for failed or cancelled payments shall be processed according to applicable payment
provider policies.
Enterprise contracts may include customized refund provisions negotiated separately.
Promotional Offers
Moleculli CRM Software may provide promotional pricing, coupons, credits, referral rewards, discounts, or limited-time offers.
Such promotions:
• Are subject to specific terms.
• May be modified or withdrawn without notice.
• Cannot be exchanged for cash.
• May not be combined with other offers unless expressly permitted.
Fraudulent use of promotional offers may result in immediate termination of the account.
Organization Responsibilities
Organizations using Moleculli CRM Software are responsible for:
• Managing their employees.
• Assigning user permissions.
• Maintaining account security.
• Monitoring user activities.
• Ensuring compliance with applicable laws.
• Protecting confidential information.
• Maintaining accurate organizational records.
• Managing branch structures.
• Controlling administrative privileges.
• Maintaining internal backup procedures where necessary.
The organization remains responsible for all activities performed through its authorized accounts.
User Responsibilities
Each User agrees to:
• Use the Services responsibly.
• Maintain accurate account information.
• Keep login credentials confidential.
• Promptly report unauthorized access.
• Comply with all applicable laws and regulations.
• Respect the rights of other users.
• Use the Services only for lawful business purposes.
• Maintain appropriate cybersecurity practices.
• Ensure uploaded information is accurate and lawful.
Users shall be solely responsible for the information they upload, store, transmit, or process using
the Services.
Business Records
Customers acknowledge that they are solely responsible for:
• Customer records;
• Sales information;
• Financial information;
• Inventory records;
• Purchase records;
• Employee information;
• Tax information;
• Business reports;
• Uploaded documents.
Moleculli CRM Software acts solely as a software service provider and does not verify the accuracy,
legality, or completeness of Customer Data.
User License
Subject to compliance with this Agreement, Moleculli CRM Software grants the Customer a limited,
non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services
solely for internal business operations during the active subscription period.
No rights are granted beyond those expressly stated in this Agreement.
Customer Compliance
Customers agree that they will comply with all applicable:
• Data protection laws;
• Employment laws;
• Tax regulations;
• Consumer protection laws;
• Export control laws;
• Anti-corruption laws;
• Anti-money laundering regulations;
• Cybersecurity regulations;
• Industry-specific compliance requirements applicable to their business.
Customers remain solely responsible for ensuring that their use of Moleculli CRM Software complies
with all legal obligations applicable in their jurisdiction.
Acceptable Use Policy
Moleculli CRM Software is intended to support legitimate business operations, customer relationship
management, sales processes, employee management, field operations, inventory management,
reporting, analytics, communication, and related business activities.
By using the Services, you agree that you will use the Services only for lawful purposes and in accordance with this Agreement.
You agree to use the Services in a manner that:
• Complies with all applicable laws and regulations.
• Respects the rights of other users.
• Does not interfere with the operation of the Services.
• Does not compromise the security or integrity of the platform.
• Does not misuse system resources.
• Does not harm Moleculli CRM Software, its customers, partners, or third parties.
Prohibited Activities
You agree that you will NOT:
1. Illegal Activities
Use the Services for any unlawful purpose including but not limited to:
• Fraud
• Identity theft
• Money laundering
• Terrorist financing
• Tax evasion
• Financial fraud
• Cybercrime
• Human trafficking
• Child exploitation
• Gambling prohibited by applicable law
• Distribution of illegal goods
• Sale of prohibited products
• Distribution of pirated software
• Violation of government regulations
2. Unauthorized Access
You shall not:
• Attempt to bypass authentication.
• Attempt to access accounts belonging to other users.
• Access databases without authorization.
• Exploit vulnerabilities.
• Perform penetration testing without written permission.
• Use stolen credentials.
• Circumvent licensing restrictions.
3. Reverse Engineering
Except where expressly permitted by applicable law, you shall not:
• Reverse engineer.
• Decompile.
• Disassemble.
• Copy source code.
• Recreate algorithms.
• Extract application logic.
• Attempt to discover proprietary technology.
4. Service Abuse
You shall not:
• Overload servers.
• Generate excessive API requests.
• Launch denial-of-service attacks.
• Introduce malicious traffic.
• Abuse bandwidth.
• Consume unreasonable computing resources.
5. Malware
You shall not upload, distribute, transmit, or store:
• Viruses
• Worms
• Trojan Horses
• Spyware
• Ransomware
• Keyloggers
• Botnets
• Malicious scripts
• Harmful executable files
• Cryptocurrency miners
• Any software intended to disrupt systems.
6. Intellectual Property Violations
You shall not upload or distribute material that:
• Infringes copyrights.
• Violates trademarks.
• Violates patents.
• Misappropriates trade secrets.
• Violates licensing agreements.
7. False Information
You agree not to:
• Create fake organizations.
• Use false identities.
• Misrepresent your business.
• Provide inaccurate registration details.
• Impersonate another individual or organization.
8. Offensive Content
You shall not use the Services to publish or distribute content that is:
• Defamatory
• Harassing
• Threatening
• Abusive
• Obscene
• Pornographic
• Hateful
• Racist
• Discriminatory
• Violent
• Harmful to minors
• Encouraging criminal conduct
• Promoting terrorism or extremism.
9. Spam
You shall not use Moleculli CRM Software for:
• Bulk unsolicited emails
• Spam campaigns
• Phishing attacks
• Scam messages
• Fraudulent promotions
• Unauthorized marketing
• SMS spam
• WhatsApp spam
• Automated robocalls
10. Competitive Analysis
Without written permission, you may not use Moleculli CRM Software for:
• Benchmark testing.
• Competitive intelligence.
• Product cloning.
• Reverse feature comparison intended to reproduce our Services.
Fair Usage Some Services may be subject to reasonable usage limits, including:
• API requests
• Storage
• File uploads
• Email sending
• SMS usage
• AI requests
• Reports generated
• Active users
• Database usage
• Network bandwidth
If usage significantly exceeds normal business operations and negatively impacts platform performance, Moleculli CRM Software may apply reasonable usage restrictions or require an upgrade to an appropriate subscription plan.
Third-Party Services and Integrations
Moleculli CRM Software may integrate with third-party services including but not limited to:
• Payment gateways
• Email providers
• SMS gateways
• WhatsApp Business API
• Google Workspace
• Microsoft 365
• Accounting software
• ERP systems
• Social media platforms
• Cloud storage providers
• Mapping services
• AI providers
• Calendar applications
Use of third-party services is subject to the respective provider's terms and privacy policies.
Moleculli CRM Software does not own or control third-party services and shall not be responsible for
their:
• Availability
• Performance
• Security
• Data handling
• Pricing
• Features
• Downtime
• Policy changes
Customers use third-party integrations entirely at their own discretion and risk.
Third-Party Accounts
If you choose to connect your Moleculli CRM Software account with third-party accounts, you authorize Moleculli CRM Software to exchange data with those services solely for providing the requested integration functionality.
You may revoke such authorization at any time by disconnecting the integration.
Privacy
Your privacy is important to Moleculli CRM Software.
Our collection, processing, storage, and use of personal information are governed by our Privacy Policy.
By using the Services, you consent to the collection and processing of information necessary for:

• Authentication
• Customer support
• Billing
• Service delivery
• Security
• Legal compliance

Moleculli CRM Software does not sell Customer Data to third parties.
Customer Data
All Customer Data entered into the Services remains the property of the Customer.

• Customers
• Vendors
• Employees
• Products

• Purchases
• Sales
• Opportunities
• Quotations
• Invoices
• Payments
• Reports
• Uploaded files
• Images
• Documents
• Notes
• Attachments
• Business workflows
• Configuration settings
Moleculli CRM Software claims no ownership over Customer Data.
Data Ownership
Customers retain all ownership rights over their data.
Nothing contained in this Agreement transfers ownership of Customer Data to Moleculli CRM Software.
The Company receives only the limited rights necessary to:
• Host the data.
• Process the data.
• Backup the data.
• Secure the data.
• Synchronize the data.
• Display the data.
• Provide requested Services.
• Comply with legal obligations.
These rights terminate upon deletion of Customer Data except where retention is required by law.
Customer Responsibility for Data
Customers are solely responsible for:
• Accuracy of uploaded information.
• Legality of stored information.
• Required permissions.
• Data quality.
• Compliance with laws.
• Backup of critical information where necessary.
Moleculli CRM Software is not responsible for business decisions made using customer-generated
reports or data.
Data Backup
Moleculli CRM Software performs periodic backups to help protect against accidental data loss.
However:
• Backups are not guaranteed to be continuous.
• Backup restoration may not always be possible.
• Backup retention periods may vary.
• Deleted data may not always be recoverable.
Customers are encouraged to maintain independent backups of mission-critical business information.
Data Security
Moleculli CRM Software employs commercially reasonable administrative, technical, and organizational security measures designed to protect Customer Data.
Security measures may include:
• Encryption during transmission.
• Password hashing.
• Role-based access controls.
• Authentication mechanisms.
• Firewall protection.
• Secure hosting infrastructure.
• Access logging.
• Activity monitoring.
• Security updates.
• Vulnerability management.
• Malware protection.
Despite these measures, no internet-based service can guarantee absolute security.
Customers acknowledge that use of online services involves inherent risks.
Confidentiality
Each party agrees to protect Confidential Information received from the other party.
Confidential Information includes:
• Business strategies
• Pricing
• Technical documentation
• Product roadmaps
• Customer information
• Financial information
• Proprietary software
• Source code
• Security procedures
• Internal processes
• Trade secrets
Confidential Information shall not be disclosed to third parties except:
• With written permission.
• As required by law.
• To authorized employees or contractors under confidentiality obligations.
The confidentiality obligations survive termination of this Agreement.
Data Retention
Customer Data will generally remain available while the subscription remains active.
Following termination or expiration:
• Access to Customer Data may be restricted.
• Data may be retained for a limited period to allow recovery where applicable.
• After the applicable retention period, Customer Data may be permanently deleted unless
required by law.
Customers are responsible for exporting their data before account closure.
Data Deletion Requests
Where permitted by law, Customers may request deletion of their data.
Moleculli CRM Software may retain limited information where necessary to:
• Comply with legal obligations.
• Resolve disputes.
• Enforce this Agreement.
• Prevent fraud.
• Maintain financial records.
• Meet regulatory requirements.
Compliance with Data Protection Laws
Customers agree to comply with all applicable data protection and privacy laws relevant to their
business operations.
Where applicable, Customers are responsible for obtaining all necessary consents required to collect,
process, and store personal information using Moleculli CRM Software.
Moleculli CRM Software processes Customer Data only for the purpose of providing the Services and
fulfilling contractual obligations under this Agreement.
Intellectual Property Rights
All rights, title, and interest in and to Moleculli CRM Software, including its software, source code, object code, databases, user interface, APIs, documentation, website content, designs, workflows,
dashboards, reports, graphics, logos, icons, trademarks, service marks, domain names, trade names,
algorithms, templates, methodologies, and all related intellectual property are and shall remain the
exclusive property of Moleculli CRM Software and its licensors.
Nothing contained in this Agreement transfers ownership of any intellectual property to the Customer.
Except for the limited license expressly granted under this Agreement, no rights are granted to the
Customer, whether by implication, estoppel, or otherwise.
Software License
Subject to compliance with this Agreement and payment of all applicable subscription fees, Moleculli
CRM Software grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable
license to access and use the Services solely for your internal business operations during your active
subscription period.
This license does not permit you to:
• Sell the Services.
• Rent the Services.
• Lease the Services.
• Distribute the Services.
• Sublicense the Services.
• Resell the Services without written authorization.
• Host the Services for third parties.
• Create competing products using the Services.
• Copy substantial portions of the software.
• Modify the software.
• Remove proprietary notices.
The license automatically terminates upon expiration or termination of your subscription.
Copyright Policy
All content provided by Moleculli CRM Software, including but not limited to documentation, tutorials, training materials, videos, articles, software interfaces, templates, reports, designs, and website content, is protected by applicable copyright laws.
You may not:
• Copy materials for commercial purposes.
• Redistribute documentation.
• Publish training materials.
• Reproduce product interfaces.
• Remove copyright notices.
• Create derivative works from protected content without prior written permission.
Reasonable copying for your own internal business use is permitted where necessary for normal
operation of the Services.
Trademark Policy
"Moleculli CRM Software," the Moleculli name, logos, icons, product names, slogans, graphics, and
associated branding are trademarks or service marks of Moleculli CRM Software.
You may not:
• Use our trademarks in advertisements.
• Register confusingly similar domain names.
• Use our logos without permission.
• Suggest sponsorship or endorsement where none exists.
• Incorporate our branding into your own products without authorization.
Authorized partners may use approved branding materials only in accordance with written branding
guidelines.
Feedback and Suggestions
We welcome suggestions, enhancement requests, recommendations, bug reports, ideas, and feedback regarding our Services.
If you voluntarily provide feedback, you agree that:
• Moleculli CRM Software may use the feedback without restriction.
• No compensation is owed to you.
• No confidentiality obligation arises solely from your submission.
• We may incorporate your suggestions into future versions of our Services.
You retain ownership of your original ideas; however, you grant Moleculli CRM Software a perpetual,
worldwide, royalty-free license to use such feedback for improving the Services.
User Generated Content
The Services may allow you to create, upload, store, transmit, or share content.
You retain ownership of your User Generated Content.
By uploading content, you represent and warrant that:
• You own the content or have the legal right to use it.
• The content does not violate any law.
• The content does not infringe the rights of others.
• You have obtained all necessary permissions.
• The content is accurate to the best of your knowledge.
Moleculli CRM Software does not routinely review User Generated Content but reserves the right to
remove content that violates this Agreement or applicable law.
Artificial Intelligence Features
Certain Services may include artificial intelligence ("AI") or machine learning features.
AI-generated outputs are provided to assist users and should not be considered professional advice.
Customers remain solely responsible for:
• Reviewing AI-generated content.

complete, or suitable for any particular purpose.
Communications
By creating an account, you agree to receive communications relating to your use of the Services.
These communications may include:
• Account notifications.
• Security alerts.
• Password reset messages.
• Billing reminders.
• Subscription renewal notices.
• Service announcements.
• Maintenance notifications.
• Legal notices.
• Product updates.
Where permitted by law, you may also receive marketing communications. You may opt out of marketing communications at any time, but you cannot opt out of essential service-related communications.
Product Updates
Moleculli CRM Software continually improves its Services.
Accordingly, we may:
• Release new features.
• Improve existing functionality.
• Modify workflows.
• Update interfaces.
• Enhance security.
• Introduce new modules.
• Remove obsolete features.
• Correct software defects.
Updates may be deployed automatically without prior notice where necessary for security, stability, or legal compliance.
Maintenance
Routine maintenance may occasionally require temporary interruption of the Services.
Whenever reasonably practicable, scheduled maintenance will be performed during periods expected to minimize customer impact.
Emergency maintenance may be performed without prior notice where necessary to protect the security, stability, or integrity of the platform.
Service Availability
Moleculli CRM Software aims to provide reliable and uninterrupted Services.
However, continuous availability cannot be guaranteed.
Temporary interruptions may occur due to:
• Scheduled maintenance.
• Emergency maintenance.
• Internet failures.
• Cloud infrastructure issues.
• Hardware failures.
• Cybersecurity incidents.
• Third-party service outages.
• Force majeure events.
Such interruptions shall not constitute a breach of this Agreement where commercially reasonable
efforts are made to restore Services.
Monitoring
To protect the integrity and security of the platform, Moleculli CRM Software may monitor system
activity including:
• Login activity.
• API usage.
• System performance.
• Error logs.
• Security events.
• Audit logs.
• Network traffic.
• Usage statistics.
Monitoring is conducted solely for legitimate business purposes such as:
• Security.
• Fraud prevention.
• Performance optimization.
• Legal compliance.
• Technical support.
Open Source Components
Certain components of the Services may include software licensed under open source licenses.
Such components remain subject to their respective open source licenses.
Nothing in this Agreement limits your rights under applicable open source licenses for those specific
components.
Export Compliance
You agree not to use or export the Services in violation of applicable export control laws, sanctions, or trade restrictions.
You represent that:
• You are not located in a jurisdiction subject to comprehensive sanctions that prohibit use of the Services.
• You are not listed on any government-restricted party list applicable to your use of the Services.
• You will not use the Services for prohibited end uses under applicable law.
Audit Rights
Where required for enterprise subscriptions or regulatory compliance, Moleculli CRM Software may
request reasonable information necessary to verify compliance with this Agreement.
Any audit shall be conducted in a manner that minimizes disruption to the Customer's business
operations.
Disaster Recovery
Moleculli CRM Software maintains commercially reasonable disaster recovery procedures designed
to restore Services following significant operational disruptions.
Recovery objectives may vary depending on:
• Service type.
• Subscription plan.
• Nature of the disruption.
• Infrastructure availability.
Disaster recovery procedures do not guarantee prevention of all data loss or service interruptions.
Force Majeure
Moleculli CRM Software shall not be liable for any delay or failure in performance resulting from
circumstances beyond its reasonable control, including but not limited to:
• Natural disasters.
• Earthquakes.
• Floods.
• Fires.
• Pandemics.
• Epidemics.
• War.
• Terrorism.
• Civil unrest.
• Government actions.
• Labor disputes.
• Internet outages.
• Cloud service failures.
• Utility failures.
• Cyberattacks beyond commercially reasonable control.
• Transportation disruptions.
• Acts of God.
During such events, affected obligations shall be suspended for the duration of the force majeure
event.
Assignment
You may not assign, transfer, delegate, or otherwise transfer your rights or obligations under this Agreement without the prior written consent of Moleculli CRM Software.
Moleculli CRM Software may assign this Agreement as part of a merger, acquisition, corporate restructuring, sale of assets, or similar business transaction.
Suspension of Services
Moleculli CRM Software reserves the right to suspend, restrict, or temporarily disable access to all or
part of the Services without prior notice where reasonably necessary to:
• Protect the security or integrity of the Services.
• Investigate suspected violations of this Agreement.
• Prevent unauthorized access.
• Respond to legal or regulatory requirements.
• Prevent fraud or financial abuse.
• Address cybersecurity threats.
• Perform emergency maintenance.
• Resolve technical issues affecting system stability.
• Protect other customers from harmful activity.
Where reasonably practicable, Moleculli CRM Software will notify the Customer of such suspension
and provide information regarding restoration of access.
Suspension does not waive the Customer's obligation to pay applicable subscription fees.
Account Termination by Customer
Customers may terminate their account at any time by:
• Using the account cancellation feature available within the Services;
• Contacting Moleculli CRM Software customer support; or
• Providing written notice in accordance with applicable procedures.
Termination of an account does not automatically entitle the Customer to any refund except as expressly stated in the Refund Policy or required by applicable law.
Account Termination by Moleculli CRM Software
Moleculli CRM Software may terminate or permanently disable an account if:
• The Customer materially breaches this Agreement.
• Subscription fees remain unpaid after applicable notice periods.
• Fraudulent payment activity is detected.
• The Services are used for unlawful purposes.
• False or misleading registration information is provided.
• Unauthorized access attempts occur.
• Malware or malicious software is distributed through the Services.
• The Customer infringes intellectual property rights.
• Continued use presents security risks.
• Government authorities require suspension or termination.
• Continued use could expose Moleculli CRM Software to legal liability.
Where appropriate, Moleculli CRM Software may provide advance notice and an opportunity to
remedy the violation before termination.
Effect of Termination
Upon termination or expiration of the Agreement:
• Your right to access the Services immediately ends.
• User licenses automatically terminate.
• Premium features become unavailable.
• APIs may be disabled.
• Mobile access may be revoked.
• Administrative privileges cease.
• Access credentials may be deactivated.
Any outstanding fees owed to Moleculli CRM Software remain payable.
Termination does not relieve either party from obligations that survive termination.
Data After Termination
Following account termination:
• Customer Data may remain available for a limited retention period where technically
feasible.
• After the applicable retention period, Customer Data may be permanently deleted.
• Certain information may be retained where required by law, regulatory obligations, accounting standards, fraud prevention, or legitimate business purposes.
Customers are strongly encouraged to export all required business data before requesting account
termination.
Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an "AS IS", "AS
AVAILABLE", and "WITH ALL FAULTS" basis.
Moleculli CRM Software expressly disclaims all warranties, whether express, implied, statutory, or
otherwise, including but not limited to:
• Merchantability.
• Fitness for a particular purpose.
• Non-infringement.
• Accuracy.
• Reliability.
• Availability.
• Performance.
• Compatibility.
• Security.
• Error-free operation.
• Continuous availability.
Moleculli CRM Software does not warrant that:
• The Services will always operate without interruption.
• Every software defect will be corrected.
• Every report will be completely accurate.
• Data loss will never occur.
• Third-party integrations will always function.
• Services will satisfy every business requirement.
Customers acknowledge that software services may contain defects, limitations, and temporary
interruptions.
Limitation of Liability
To the maximum extent permitted by applicable law, Moleculli CRM Software and its directors, officers, employees, affiliates, licensors, suppliers, and partners shall not be liable for any:
• Indirect damages.
• Incidental damages.
• Special damages.
• Consequential damages.
• Exemplary damages.
• Punitive damages.
• Loss of profits.
• Loss of revenue.
• Loss of business opportunities.
• Loss of customers.
• Loss of contracts.
• Loss of goodwill.
• Loss of anticipated savings.
• Loss of reputation.
• Business interruption.
• Data corruption.
• Data loss.
• System downtime.
• Replacement costs.
• Procurement costs.
This limitation applies regardless of the legal theory under which liability is asserted, including contract, negligence, strict liability, tort, or otherwise.
Maximum Liability
Except where prohibited by applicable law, the total cumulative liability of Moleculli CRM Software
arising out of or relating to this Agreement shall not exceed the greater of:
• The total subscription fees actually paid by the Customer to Moleculli CRM Software during the twelve (12) months immediately preceding the event giving rise to the claim; or
• INR ₹50,000 (Indian Rupees Fifty Thousand).
This limitation applies collectively to all claims arising under or related to this Agreement.
Indemnification
The Customer agrees to defend, indemnify, and hold harmless Moleculli CRM Software, its directors,
officers, employees, affiliates, contractors, licensors, and agents from and against any claims, losses,
damages, liabilities, costs, expenses, penalties, or reasonable legal fees arising out of or relating to:
• Violation of this Agreement.
• Misuse of the Services.
• Violation of applicable laws.
• Infringement of third-party intellectual property rights.
• Customer Data uploaded by the Customer.
• Negligence or wrongful acts of the Customer.
• Unauthorized activities performed using the Customer's account.
This indemnification obligation survives termination of the Agreement.
Compliance with Laws
Customers agree to comply with all applicable laws, regulations, governmental requirements, and
industry standards relating to their use of the Services.
Customers are solely responsible for ensuring compliance with laws governing:
• Employment.
• Taxation.
• Consumer protection.
• Privacy.
• Data protection.
• Electronic communications.
• Industry-specific regulations.
• International trade.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of
India, without regard to conflict of law principles.
Jurisdiction
Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction
of the competent courts located in Vadodara, Gujarat, India, unless otherwise required by applicable
law.
Dispute Resolution
Before initiating formal legal proceedings, both parties agree to make reasonable efforts to resolve
disputes through good-faith negotiations.
If a dispute cannot be resolved through negotiation within a reasonable period, either party may
pursue remedies available under applicable law before the courts having jurisdiction.
Nothing in this section prevents either party from seeking urgent interim or injunctive relief where
necessary to protect its legal rights.
Notices
All legal notices relating to this Agreement shall be provided in writing through one or more of the
following methods:
• Registered email address.
• Registered postal address.
• Courier service.
• Official in-application notifications where legally sufficient.
Notices will be deemed delivered when successfully transmitted or delivered in accordance with
applicable law.
Electronic Records and Signatures
You acknowledge and agree that:
• Electronic records are legally valid.
• Electronic acceptance of this Agreement constitutes your legally binding consent.
• Electronic communications satisfy legal requirements for written communications where
permitted by applicable law.
Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
The invalid provision shall be replaced, where possible, with a valid provision that most closely reflects the original intent.
No Waiver
Failure by Moleculli CRM Software to enforce any provision of this Agreement shall not constitute a
waiver of that provision or any other rights.
Any waiver must be made expressly in writing by an authorized representative of Moleculli CRM
Software.
Entire Agreement
This Agreement, together with any documents expressly incorporated by reference, constitutes the
complete and entire agreement between the Customer and Moleculli CRM Software regarding the use of the Services.
It supersedes all prior agreements, understandings, proposals, negotiations, and communications
relating to the subject matter.
Assignment
The Customer may not assign or transfer any rights or obligations under this Agreement without the
prior written consent of Moleculli CRM Software.
Moleculli CRM Software may assign this Agreement in connection with:
• Merger.
• Acquisition.
• Corporate restructuring.
• Sale of business assets.
• Successor organization.
Survival
The following provisions shall survive termination or expiration of this Agreement:
• Payment obligations.
• Intellectual Property Rights.
• Confidentiality.
• Data Ownership.
• Disclaimer of Warranties.
• Limitation of Liability.
• Indemnification.
• Governing Law.
• Jurisdiction.
